Abstract

This paper focuses on Shareholder’s Agreements regarding to voting rights in closed corporations. The author analyzes the limits to validity and enforceability of agreements among shareholders and third parties: third parties in the strict sense of the word (mainly company’s creditors), the company and its directors.

Este trabajo se ocupa de los pactos parasociales sobre el derecho de voto en sociedades de capital cerradas. Se examinan los límites a la validez y eficacia de los pactos entre los socios y terceros: terceros en sentido estricto (fundamentalmente acreedores sociales), la sociedad y sus administradores.
